BUSINESS OVERVIEW

The Company and its affiliates is a leading provider of temporary and permanent traffic control services, headquartered in the Western US and operating from six locations, with project-based construction yards in three additional open markets. Founded in 1999, the Company has grown into one of the most prominent traffic control platforms, employing between 200 and 300 people in each of the last four years, scaled to where market demand is with a 27-year reputation for reliability, safety expertise, and exceptional customer service. The Company serves commercial infrastructure, telecommunications, homebuilders, and public-sector customers including AT&T, Verizon, Security Paving, and HP.

The Company is unique in the traffic control industry in that it operates both as a union and non-union company — enabling the Company to pursue state, municipal, and prevailing-wage public-sector projects (union) as well as commercial, homebuilder, and infrastructure work (non-union). Through its vertically integrated subsidiaries, the Company also manufactures traffic signs, assembles specialty traffic control trucks and truck-mounted attenuators (optional add-on to the acquisition), and maintains its own fleet of 130+ vehicles in-house — capabilities that most competitors must outsource at materially higher cost.

MANAGEMENT TEAM

The Company’s day-to-day operations are run by the owner’s three sons, including the Company’s Vice President, who together have led daily operations for more than 10 years. They are more than managers: they care deeply about the business and its people, and have been a vital part of every step of the Company’s growth. They know every customer, every relationship, and every market the Company serves.

The sons feel they have not finished what they started. They are passionate about the traffic control industry and remain committed to the core values behind why and how the Company was founded — the same values that have guided its growth for 27 years.

While the owner is retiring, the owner’s sons are willing to stay on and run operations post-acquisition, with a strong will to see the Company continue to grow. A new owner gains immediate continuity in customer relationships, field operations, and growth execution — the business will be in experienced, committed hands from day one.

FINANCIAL PERFORMANCE

The Company demonstrated significant historical earnings capacity, achieving peak Adjusted EBITDA of $5.96M in 2024 and $4.33M in 2022. Revenue reached $37.3M in 2023 before a market-driven contraction attributable to customer procurement shifts, rising interest rates, and construction market softness. Since mid-2025, management has stabilized operations; through seven months ending 7/31/2026, the Company has achieved $13.4M in revenue and $1.97M in in Adjusted EBITDA, annualizing to approximately $3.38M for the full year.
